1. Eligibility

You may use the Yuisei Service only if:

• You are at least 13 years old,
• You have the legal power to enter into a binding contract with Supaku, and
• Your use of the Yuisei Service is not prohibited under applicable law or by any platform whose services you connect.

If you use the Yuisei Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes both you and the organization.

2. Description of the Yuisei Service

The Yuisei Service helps you:

• Store and organize personal and professional contacts
• Track activities, interactions, and notes related to your contacts
• Set intentions and relationship goals
• Track gifts and important dates
• Integrate with calendars and set reminders
• Use AI-assisted and source-category-labeled enrichment to help keep existing contact information useful

The Yuisei Service may integrate with third party services, calendar tools, and AI providers. We may add or remove features and integrations from time to time.

You are responsible for reviewing and complying with the terms and policies of the platforms and tools you connect.

Yuisei is not a contact-discovery, lead-generation, or people-search service. The Yuisei Service is designed to help you manage and enrich contacts you already choose to upload, sync, or create.

3. Accounts and security

A Supaku Account is required to use the Yuisei Service. The creation, security, and management of your Supaku Account are governed by the Supaku Account Terms of Service.

You are responsible for:

• Maintaining the confidentiality of your login credentials and access tokens
• All activity that occurs under your Supaku Account and connected integrations
• Promptly notifying us at security@supaku.com if you suspect unauthorized access or other security issues

4. Integrations and third party services

When you connect a third party service to the Yuisei Service, you authorize Supaku to:

• Access and use that service in accordance with the permissions you approve
• Retrieve contact data, calendar events, and account information from that service
• Create, modify, or sync data with that service on your behalf when you explicitly request it

Supaku does not control third party services and is not responsible for their actions, terms, or policies. Your use of any third party service is solely between you and that service.

We may suspend or disable an integration if required by the third party, by law, or to protect users and systems.

5. Your content and data

a. Your content

"Your Content" means any contacts, activities, notes, gifts, intentions, or other data you input into or connect to the Yuisei Service, including data imported from third party services.

You retain ownership of Your Content. You grant Supaku a worldwide, non exclusive, royalty free license to host, store, process, modify, and display Your Content as reasonably necessary to:

• Operate and provide the Yuisei Service
• Enrich and organize contact information for you
• Sync data with platforms and tools you authorize
• Maintain backups, logs, and system integrity

You are responsible for ensuring that Your Content does not violate any law, these Terms, or the terms of any platform or service where it appears.

b. Contact data authority

When you upload, sync, import, create, or otherwise provide contact information to the Yuisei Service, you represent and warrant that you have the right, permission, or other lawful basis to possess that information and to have Supaku process it through the Yuisei Service for you, including the right to grant Supaku the rights necessary to provide the Yuisei Service in connection with that information. This includes contact information imported from address books, calendars, social profiles, connected services, CSV files, vCards, and manual entry.

Contacts you bring into Yuisei are Your Content. Supaku does not treat those contact records as Supaku-originated contacts, and Supaku is not responsible for obtaining permission from your contacts for information that you choose to upload, sync, possess, or process through the Yuisei Service.

You may not use the Yuisei Service to create new contacts through name lookup, enrichment-provider lookup, data broker lookup, lead generation, or any similar people-search workflow. Enrichment features must begin from a contact you already supplied or synced.

c. Enrichment and public web data

Yuisei may help enrich existing contacts using connected services, user-provided data, public web data, public professional datasets, public profile URLs, AI-assisted extraction, and self-reported updates from contacts. Enrichment may include information such as role, company, public profile URL, location, public bio, and other public or professional context relevant to relationship management.

Public web data may include publicly accessible web pages, public bios, public company directories, and similar publicly available sources. Public professional datasets may include licensed datasets of business contact and employment information used to suggest employer, role, and similar professional context.

Enrichment results are intended to be suggestions that you review. We may display source categories such as "User import", "Public web data", "Connected calendar", or "Contact self-report". We do not promise that enriched information is complete, current, or error-free.

Some enrichment and AI features consume credits or plan entitlements. Manual refreshes show the expected cost before use. Recurring enrichment, including "Auto-refresh when viewing" and "Keep social profiles up to date", is controlled in Settings and may be limited or disabled by group, circle, source, contact, budget, or plan.

The first time you enable recurring enrichment, Yuisei will show a confirmation that explains what the feature does, what data may be sent to providers, what it may cost in credits, and how to disable it. We may record the disclosure version, timestamp, and user who enabled it.

d. AI features

The Yuisei Service uses AI models to enrich contacts and provide suggestions. For purposes of intellectual property rights between you and Supaku, and subject to applicable law and third party terms, we grant you a license to use AI generated content that we present to you through the Yuisei Service.

You are responsible for reviewing all AI generated or enriched data and for ensuring that it is accurate. AI generated content may be inaccurate, incomplete, or inappropriate. It is provided as a tool to assist you and is not a substitute for your own judgment.

e. Use for improvement

Supaku does not sell Your Content, run advertising against your relationship graph, or permit third party AI providers to train their general-purpose models on Your Content. Supaku may use de-identified or aggregated information, operational telemetry, and feedback to develop and improve the Yuisei Service where that information cannot reasonably be linked back to a specific individual.

6. Acceptable use

You agree not to, and not to permit others to:

• Use the Yuisei Service in violation of any applicable law or regulation
• Upload, sync, import, or process contact information that you do not have the right, permission, or lawful basis to possess or process
• Use the Yuisei Service in a way that violates any third party rights, including privacy, publicity, or intellectual property rights
• Use the Yuisei Service as a people-search, contact-discovery, lead-generation, data broker, or enrichment lookup tool to create new contacts
• Use the Yuisei Service for surveillance, stalking, harassment, doxxing, or purposes unrelated to managing genuine personal or professional relationships
• Use the Yuisei Service to store, distribute, or transmit harmful or illegal content
• Attempt to interfere with or disrupt the Yuisei Service or its infrastructure
• Attempt to gain unauthorized access to any account, system, or network
• Reverse engineer, decompile, or attempt to derive the source code of the Yuisei Service, except where allowed by law
• Use automated scripts or scraping in a way that burdens our systems beyond normal usage patterns
• Use the Yuisei Service to bypass access controls, defeat captchas, automate logins, or circumvent the technical or contractual restrictions of third party platforms
• Attempt to extract, discover, or reconstruct system prompts, internal instructions, or configuration data used by the Yuisei Service's AI features through prompt manipulation, jailbreaking, prompt injection, or similar techniques
• Intentionally bypass, circumvent, or attempt to disable any safety measures, guardrails, rate limits, or protective mechanisms in the Yuisei Service
• Use inputs or outputs from the Yuisei Service to train, fine-tune, or distill AI models without our prior written authorization

We may investigate and take any action we deem appropriate, including suspending or terminating access to the Yuisei Service, if we reasonably believe you have violated these Terms or applicable law.

7. Fees and payment

We may offer trials, paid plans, usage-based credits, or limited promotional access for the Yuisei Service. Specific pricing, features, and billing terms will be presented at the time of purchase or upgrade and form part of these Terms.

Certain AI, enrichment, automation, and integration features may consume credits, entitlements, or usage-based allowances. Recurring enrichment can be enabled or disabled in Settings after a first-time confirmation, and you are responsible for managing your budget, source controls, and scope settings.

If you sign up for a paid plan:

• You agree to pay all applicable fees and taxes
• Fees are typically billed in advance and are non refundable except where required by law or explicitly stated
• Subscriptions may renew automatically at the then current rate unless you cancel in accordance with the plan terms

We may change prices or plan features with reasonable notice. Changes will not apply retroactively to periods you have already paid for.

8. Termination and suspension

You may stop using the Yuisei Service at any time. You may be able to delete your account or cancel a subscription through settings or by contacting us.

We may suspend or terminate your access to the Yuisei Service, in whole or in part, if:

• You materially or repeatedly breach these Terms or other applicable policies,
• You fail to pay any fees owed,
• We are required to do so by law or by a third party platform, or
• We reasonably believe your use creates risk or harm to other users, Supaku, or the public.

We may immediately suspend or terminate your account without prior notice or refund if we reasonably believe you have:

• Attempted to extract system prompts, internal instructions, or backend data from the Yuisei Service
• Engaged in prompt injection, jailbreaking, or other techniques to bypass AI safety measures or guardrails
• Systematically probed or tested the Yuisei Service for vulnerabilities without authorization
• Used outputs from the Yuisei Service to train or distill AI models without authorization

Where reasonably possible we will give you notice before termination or suspension, but we may act immediately where necessary to protect security or comply with legal obligations.

Upon termination, your right to use the Yuisei Service will end. Sections that by their nature should survive termination will continue to apply, including those relating to ownership, payment obligations, disclaimers, limitations of liability, and indemnification.

9. Disclaimers

The Yuisei Service, including all content and features, is provided "as is" and "as available", without warranties of any kind.

To the fullest extent permitted by law, Supaku disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, and any warranties arising from course of dealing or usage of trade.

Supaku does not guarantee that the Yuisei Service will be uninterrupted, secure, or error free, or that data provided by the Yuisei Service will be accurate, complete, or suitable for your purposes.

The Yuisei Service does not provide legal, financial, investment, medical, or other professional advice. You are responsible for your use of AI enriched data and for verifying the accuracy of contact information.

10. Limitation of liability

To the fullest extent permitted by law:

Supaku will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Yuisei Service, even if we have been advised of the possibility of such damages.

Supaku's total aggregate liability for all claims arising out of or related to the Yuisei Service or these Terms will not exceed the greater of:

• The total amount you paid to Supaku for the Yuisei Service in the twelve months before the event giving rise to the claim, or
• One hundred United States dollars (USD 100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Supaku and its members, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Yuisei Service,
• Your Content or data you choose to store or share,
• Your breach of your representations regarding the right, permission, or lawful basis to upload, sync, possess, or process contact information,
• Your use of the Yuisei Service in violation of any third party platform's terms, policies, or technical restrictions,
• Your use of the Yuisei Service for any prohibited purpose, including people-search, contact discovery, lead generation, surveillance, stalking, harassment, or doxxing,
• Third party claims arising from Your Content or your use of enrichment outputs,
• Your violation of these Terms or any applicable law, or
• Your violation of any third party right.

We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

12. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to the Yuisei Service are governed by the laws of the State of New York and the United States, without regard to conflict of law rules.

You and Supaku agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Yuisei Service, and you consent to the personal jurisdiction and venue of those courts.

13. Changes to the Yuisei Service and these Terms

We may modify or discontinue all or part of the Yuisei Service at any time, subject to applicable law.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and may provide additional notice where required.

Your continued use of the Yuisei Service after the updated Terms become effective means that you accept the updated Terms.

14. Miscellaneous

Entire agreement. These Terms, together with any additional terms for specific features and the Supaku Account Terms of Service, form the entire agreement between you and Supaku regarding the Yuisei Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver.Supaku's failure to enforce any provision is not a waiver of that provision.

Assignment.You may not assign or transfer these Terms or your rights under them without Supaku's prior written consent. Supaku may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
